These Terms of Service ("Terms") constitute a legally binding agreement between you and Industrix, LLC ("Industrix," "we," "us," or "our") governing your access to and use of the Industrix platform, website, and related services (collectively, the "Platform") available at industrix.co and its subdomains.
By creating an account, listing a property, submitting an inquiry, purchasing a subscription, or otherwise accessing or using the Platform in any way, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" include both you individually and that entity.
If you do not agree to these Terms, you must not access or use the Platform. We reserve the right to update or modify these Terms at any time. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
Industrix operates a marketplace platform that connects owners and managers of small commercial, flex, shop, and commercial space ("Landlords") with contractors, tradespeople, operators, and other business tenants seeking such space ("Tenants"). The Platform enables Landlords to create and publish property listings, and enables Tenants to search, filter, and submit inquiries on those listings.
Industrix is a marketplace intermediary only. We are not a party to any lease, rental agreement, or other arrangement entered into between a Landlord and a Tenant through use of the Platform. We do not own, manage, inspect, warrant, or endorse any property listed on the Platform, and we do not broker, negotiate, or execute any real estate transaction. All lease terms, rent amounts, and contractual arrangements are solely between the Landlord and Tenant.
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Platform at any time, with or without notice, and without liability to you. We may also impose limits on certain features or restrict your access to all or part of the Platform without notice or liability.
To access most features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials.
You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Platform. By creating an account, you represent and warrant that you meet these requirements. The Platform is intended for business and commercial use in connection with commercial real estate. Consumer residential use is not supported and is outside the scope of these Terms.
We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion, including for violation of these Terms, suspected fraud or abuse, inaccurate account information, or conduct that we determine to be harmful to other users or the integrity of the Platform. You may not create more than one account per person or entity without our prior written consent.
Landlords who create listings on the Platform represent and warrant that they have the legal right and authority to list the property, that the listing information is accurate and not misleading, and that the property is legally available for lease or rental. Landlords are solely responsible for the accuracy of all listing content including square footage, rent, specifications, photos, and stated terms.
By submitting a listing, you grant Industrix a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute the listing content (including photos) on the Platform and in promotional materials relating to the Platform for the duration of your subscription. You retain ownership of all content you submit.
Landlords agree to the following listing standards and obligations:
Industrix reserves the right to remove or decline to publish any listing at our sole discretion, including listings that violate these Terms, applicable law, or our content standards.
Tenants who use the Platform to search for space and submit inquiries represent and warrant that they are acting on behalf of a legitimate business entity or in their individual business capacity, and that the intended use of any space they inquire about complies with applicable zoning, licensing, and land use regulations.
The Tenant Passport program allows Tenants to submit verified business information — including business license status, entity type, and intended use — to accompany their inquiries. Participation in the Tenant Passport program is voluntary but may affect the priority or visibility of your inquiries to Landlords. You are solely responsible for the accuracy of all information submitted as part of your Tenant Passport profile.
Tenants agree to the following conduct standards:
Industrix does not guarantee the accuracy of any listing, the availability of any space, or the suitability of any property for your intended use. All inquiries and lease negotiations proceed at your own risk.
Access to certain features of the Platform — including active property listings, inquiry routing, market data dashboards, and rent comp tools — requires a paid subscription. Subscription plans, pricing, and included features are described on our Pricing page at industrix.co/pricing. We reserve the right to change pricing or plan features with reasonable notice to existing subscribers.
Free trials are offered on Active, Pro, and Portfolio tiers for the first 90 days from the date of initial account activation on that tier. No credit card is required to begin a free trial. On day 91, billing begins at the then-current full monthly rate. You will receive notice before your free trial ends. By providing a payment method, you authorize Industrix to charge the applicable subscription fee on a monthly basis until you cancel.
Subscriptions are billed monthly in advance. All fees are non-refundable except as required by applicable law. There are no annual contracts — all plans are month-to-month and may be cancelled at any time through your account dashboard. Cancellation takes effect at the end of the current billing period; you will retain access to paid features through that date. Industrix does not charge cancellation fees.
If a payment fails, we will notify you and attempt to process payment again. If payment cannot be collected after reasonable attempts, your subscription will be downgraded or suspended until payment is resolved. Industrix is not responsible for loss of listing visibility or inquiry routing that results from payment failure or account suspension.
The Platform is provided for informational and marketplace facilitation purposes only. Industrix makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any listing, market data, rent comp, or other content displayed on the Platform.
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by law.
Industrix is a marketplace platform only. We are not a party to any lease or other agreement between a Landlord and a Tenant, and we are not responsible for the actions, omissions, or representations of any user of the Platform.
Some jurisdictions do not allow the limitation of liability for certain types of damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless Industrix, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
Industrix reserves the right to assume exclusive control of the defense of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of any such claims at your own expense.
These Terms and any dispute arising out of or related to these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law provisions. The Platform is operated from Idaho, and we make no representation that the Platform is appropriate or available for use in other jurisdictions.
Informal Resolution. Before filing any formal legal proceeding, you agree to first contact us at legal@industrix.co and describe the nature of your dispute. We will attempt in good faith to resolve any dispute informally within 30 days of receiving your written notice. If the dispute cannot be resolved informally, either party may proceed to formal dispute resolution as described below.
Binding Arbitration. Except for claims for injunctive or other equitable relief that may be properly brought in a court of competent jurisdiction, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Coeur d'Alene, Idaho, or by remote means if agreed by both parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Industrix.
Limitation Period. You agree that any claim arising out of or related to these Terms or the Platform must be filed within one (1) year after the claim arose, or it will be permanently barred.

We will make every effort to respond to legal inquiries within 10 business days and to general support inquiries within 2 business days. Response times may be longer during periods of high volume.
These Terms, together with our Privacy Policy and any additional terms applicable to specific features or services, constitute the entire agreement between you and Industrix with respect to the Platform and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the subject matter herein. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
